Terms of Service

These Terms of Service (“Terms”) govern the business-to-business managed services provided by MSFT LLC (“MSFT LLC”, “we”, “us”), located at 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801, United States. By ordering or using our services, the customer (“you”) agrees to these Terms.

The Service Relationship

MSFT LLC provides managed cloud infrastructure to business customers. We source cloud resources from established third-party providers such as Microsoft Azure and Amazon Web Services and manage them on your behalf. Our services are intended for businesses, not consumers.

Scope, Pricing, and Billing

The specific scope of work, pricing, billing frequency, cancellation terms, and any service levels for your environment are defined in the applicable quotation, order form, or service agreement. Where those documents conflict with these Terms, the signed agreement controls.

Acceptable Use and Customer Responsibilities

You are responsible for lawful use of the infrastructure, for the security of your own credentials and applications, and for providing accurate technical information needed to deliver the service. You may not use the service for unlawful activity, or in a way that violates the acceptable-use policies of the underlying cloud providers.

Third-Party Providers

Cloud infrastructure is delivered on third-party platforms. Your use of those platforms may also be governed by the applicable provider’s terms of service, and provider availability and pricing are outside MSFT LLC’s direct control.

Limitation of Liability

To the maximum extent permitted by law, MSFT LLC’s liability arising from the services is limited to the fees paid for the affected service in the three months preceding the claim, and we are not liable for indirect or consequential losses. Nothing in these Terms limits liability that cannot be limited by law.

Governing Law

These Terms are governed by the laws of the State of Wyoming, United States.

MSFT LLC is an independent company and is not affiliated with, owned by, or endorsed by Microsoft Corporation. “Microsoft”, “Azure”, and “Amazon Web Services” are trademarks of their respective owners.
